about us.

we are two dad’s (and brother’s!) in our mid-40’s, and we have partnered to acquire, operate and grow small services businesses.

we have very different professional backgrounds, yet complimentary skills: Chris is fairly conservative, and has spent his entire career as a bond underwriter, while Adam is an entrepreneur who loves to build and grow companies, having spent the last 15 years building a regional restaurant business to over 30 locations and $100mm in revenue.

we are both keen to work together and build something special, and we are spending most of our time searching for companies in business and consumer services, spanning from home services business like pest control, to consumer services business like auto repair or glass manufacturing and replacement, to medical services such as ambulatory transport or digital imaging.

FAQ’s

any geographic limitations?

Ideally it would be located in close proximity to where we live (northeast and southeast US, respectively), but we are open to looking at anything in the US assuming reasonable proximity to an airport.

what size businesses are you seeking?

we are looking for businesses that generate b/w $1mm and $5mm of revenue, and a minimum of $500k of EBITDA (or a minimum of $650k of SDE assuming a $150k owner’s salary).

If it’s a single brick-and-mortar location (e.g an auto repair shop) with a long, successful operating history, we will look at businesses with less than $500k of EBITDA.

what are examples of services businesses you are seeking to acquire?

  • residential services examples: pest control, lawn/irrigation, trash removal, pool maintenance, chimney cleaning, kitchen appliance service

  • consumer services examples:

    non-ambulatory transport, auto repair, towing, accounting services

  • business services examples:

    glass manufacturing and replacement/installation, fire safety and suppression, food-service equipment maintenance, street-sweeping, commercial cleaning, property management, environmental services and testing, school bus operator

thematically, we are looking for stable businesses that can be augmented (rather than be replaced) by the implementation of technology, and have a proven track record of weathering economic down-cycles.

how about the transition?

we are generally looking for owners to stick around for 6 months - 1 year to support a successful transition. we intend to be hands-on owner-operators, but we want to make sure we have enough time to learn from you.

price and structure?

we are looking to structure acquisitions with a combination of cash up-front, sba debt financing, and a modest amount of seller financing and/or equity roll-over.

for larger deals, we have several, close, high net worth relationships from which we can source additional equity capital if needed.
